Please read these Terms & Conditions ("Terms") carefully before using the website located at [www.asweweredesign.com] (the "Site") or engaging As We Were ("As We Were," "we," "us," or "our") for design services. By accessing the Site or engaging our services, you ("you," "client," or "user") agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
1. Overview of Services
As We Were is a brand design firm offering services that may include, without limitation, brand identity design, logo design, visual strategy, print and digital design, and related creative and consulting services (the "Services"). The specific scope, deliverables, timeline, and fees for any project will be set out in a separate written proposal, statement of work, or contract ("Project Agreement") between As We Were and the client. In the event of a conflict between these Terms and a signed Project Agreement, the Project Agreement will govern.
2. Use of the Site
You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. You may not:
• Use the Site in any way that could damage, disable, or impair it
• Attempt to gain unauthorized access to any part of the Site
• Use any automated system (bots, scrapers, etc.) to access the Site without our permission
• Copy, reproduce, or redistribute Site content without our prior written consent
We reserve the right to restrict or terminate access to the Site for any user who violates these Terms.
3. Intellectual Property
Our content. All content on the Site — including text, graphics, logos, images, and design work — is owned by or licensed to As We Were and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute this content without our prior written permission, except as necessary to view the Site for personal, non-commercial purposes.
Client project work. Ownership and usage rights for deliverables created as part of a client project (such as logos, brand assets, or design files) are governed by the applicable Project Agreement. Unless otherwise stated in that agreement, final approved deliverables transfer to the client upon full payment, while As We Were retains the right to display the work in its portfolio, case studies, and promotional materials, and retains ownership of any preliminary concepts, drafts, or proprietary tools and processes not included in the final deliverables.
4. Client Responsibilities
To help us deliver quality work on schedule, clients agree to:
• Provide timely feedback, approvals, and requested materials (such as brand assets, content, or access credentials)
• Ensure that any content, trademarks, or materials provided to us for use in a project do not infringe on the rights of any third party
• Make payments according to the agreed schedule in the Project Agreement
Delays in providing feedback or materials may result in corresponding delays to project timelines.
5. Fees and Payment
Fees, payment schedules, and accepted payment methods will be specified in the Project Agreement or invoice. Unless otherwise agreed:
• Invoice are due within the timeframe stated on the invoice
• Late payments may be subject to a late fee and/or pause of ongoing work until payment is received
• Fees are non-refundable once work has commenced, except as otherwise stated in the Project Agreement
6. Revisions and Project Changes
The number of revision rounds included in a project will be outlined in the Project Agreement. Requests that fall outside the agreed scope (a "scope change") may require an updated timeline and additional fees, to be agreed upon in writing before work proceeds.
7. Cancellation and Termination
Either party may terminate a project by providing written notice, subject to any specific terms in the Project Agreement. In the event of cancellation:
• The client will be responsible for payment for all work completed up to the date of cancellation
• Any deposit or retainer paid is generally non-refundable, unless otherwise stated in the Project Agreement
• As We Were will deliver any completed, paid-for work product to the client in a reasonable timeframe
8. Disclaimers
The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Site will be uninterrupted, secure, or error-free. Design work and creative outcomes are inherently subjective; while we aim for client satisfaction, we do not guarantee specific business results (such as sales, engagement, or brand recognition) from our Services.
9. Limitation of Liability
To the fullest extent permitted by law, As We Were will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Site or our Services. Our total liability for any claim arising from a project will not exceed the total fees paid by the client for that specific project.
10. Indemnification
You agree to indemnify and hold As We Were harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any third-party rights, including in connection with materials you provide to us for a project.
11. Third-Party Links and Services
The Site may contain links to third-party websites or tools that are not owned or controlled by As We Were. We are not responsible for the content, policies, or practices of any third-party sites.
12. Governing Law
These Terms are governed by the laws of North Carolina, without regard to its conflict of law principles. Any disputes arising from these Terms or our Services will be subject to the exclusive jurisdiction of the courts located in Wilmington, North Carolina.
13. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Site or our Services after changes are posted constitutes acceptance of the updated Terms.
